Stockist Terms and Conditions 2012
In order for our regular trade customers to maintain a level of exclusivity within their geographical area, we have set out Terms & Conditions regarding the supply of more than one stockist in different types of locations. As a growing business, with over 400 stockists, we have reached the point where the issue of exclusivity is becoming a regular discussion, so in order to address this issue, we have drawn up clear guidelines in which we state our expectations for companies wishing to sell our jewellery, and equally our commitment to our loyal stockists who support us by ordering regularly.
Our aim is to avoid over-supplying any area and to reassure our regular customers that if they show a reasonable financial commitment to stocking our products, we will reciprocate by not selling the same jewellery to another outlet close by.
In order to protect their exclusivity, stockists must fulfill this criteria to become an ‘Official Stockist’:
Definition of Official Stockist: In order to retain exclusivity within your area, you agree to place at least 4 orders a year (one order per quarter from the date of your first order) to the value of £1,000 over the one-year period.
We will consider you to be an Official Stockist once you have placed your second order within three months of the first order. However, we will not supply anyone else in your area during this time to allow for sales of the first delivery.
For existing stockists, we will use your order history to ascertain if you already have Official Stockist status.
If you do not place a second order within three months, you risk losing exclusivity in your area. If we are approached by another outlet after the three months has passed, we will contact you to discuss the situation and give you the opportunity to place an order to secure your exclusivity.
If you do not order within 6 months, we will consider you to be no longer stocking our jewellery and we will be free to supply another outlet in your area without informing you. We will also remove your details from our website’s ‘Find A Stockist’ listing.
Number of Stockists allowed in a geographical area.
We consider the following amount of stockists in different types of locations to be fair to us and to our existing stockists:
Village/Small Town – 1 stockist
Medium Town – 2 stockists (a reasonable distance apart)
Large Town/Small city – 3 stockists (reasonable distances apart)
City/Suburban area – we are free to supply outlets that are over 1 mile from each other (we check addresses and distances on Google Maps).
In any location other than a village/small town, we will inform you if another shop or gallery within 1 mile approaches us to become a stockist. Sometimes we can come to an arrangement for one stockist to carry our Gift Collections (Hearts, Wedding, Petite and Vintage Style and Charity Collections) and one our Gallery Collections ( Original Vintage, Vintage Brooches, Signature and Simply Silver).
If there is a dispute between stockists, we reserve the right to choose which stockist we will supply.
If you don’t wish to spend £1,000 per year, you can still be a Stockist of our jewellery but we will be free to supply another shop or gallery in your area.
